You'll need to read and agree to this contract before your telephone consultation with Dr. Ralph F. Wilson.
Dr. Wilson's desire is to delight his clients. Part of this is to make the consulting relationship clear. These are the terms of your agreement with Wilson Internet Services:
1. Authorization. The below-named client is engaging Dr. Ralph F. Wilson of Internet Services, a sole proprietor, located in Loomis, California 95650, to provide telephone consulting about matters of interest to the client's business.
2. Payment of Fees. Fees to Wilson Internet Services are due and payable at the beginning of the telephone conversation at the rate of $125 per hour (one hour minimum). All payments will be made in US funds. Delinquent bills will be assessed a $15 charge if payment is not received within 10 days of the due date. If an amount remains delinquent 30 days after its due date, an additional 5% penalty will be added for each month of delinquency. In case collection proves necessary, the client agrees to pay all fees incurred by that process.
3. Legal Stuff. Wilson Internet Services does not warrant that the advice given in this consultation will meet the client's requirements or be free of errors and omissions. Since to be effective, plans must be executed with knowledge and experience, and the client may not possess that knowledge and experience after the consultation, or may misinterpret or misunderstand advice given, the entire risk as to the results of the consultation is with the client. In no event will Wilson Internet Services be liable to the client or any third party for any damages, including any lost profits, lost savings or other incidental, consequential or special damages arising out of advice given, even if Wilson Internet Services has been advised of the possibility of such damages.
4. Severability. If any provision of this agreement shall be unlawful, void, or for any reason unenforceable, then that provision shall be deemed severable from this agreement and shall not affect the validity and enforceability of any remaining provisions.
5. Laws Affecting Electronic Commerce. From time to time governments enact laws and levy taxes and tariffs affecting Internet electronic commerce. The client agrees that the client is solely responsible for complying with such laws, taxes, and tariffs, and will hold harmless, protect, and defend Wilson Internet Services and its subcontractors from any claim, suit, penalty, tax, or tariff arising from the client's exercise of Internet electronic commerce. Wilson Internet Services cannot and does not dispense legal advice.
6. Venue. Regardless of the place of signing of this agreement, the client agrees that for purposes of venue, this contract was entered into in Placer County, California, and any dispute will be litigated or arbitrated in Placer County, California.
7. Sole Agreement. The agreement contained in this "Telephone Consulting Contract" constitutes the sole agreement between Wilson Internet Services and the client. All prices specified in this contract will be honored for thirty (30) days after this contract is executed. Continued services after that time will require a new agreement.
8. Initial Payment and Refund Policy. Since this contract is based on a one hour minimum, once the consultation has begun, there is no refund of the first hour fee. If, however, before the telephone consultation commences, the client applies by registered letter for a refund within 30 days of the time of the submission of this contract, to the Director of Wilson Internet Services, P.O. Box 308, Rocklin, CA 95677, phone (916) 652-4659, the entire first hour fee will be refunded. No portion of this initial payment will be refunded unless written application is made within 30 days of agreeing to this contract.
